1. Acceptance of Terms
By accessing this website, creating an account, or placing an order, you ("Buyer," "you," or "your") agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, incorporated herein by reference. If you do not agree with any provision of these Terms, you must immediately cease using this site and may not place an order. Explicit Research reserves the right to modify these Terms at any time; continued use of the site following any modification constitutes acceptance.
2. Research-Use-Only Acknowledgment
ALL PRODUCTS SOLD BY EXPLICIT RESEARCH ARE INTENDED EXCLUSIVELY FOR LEGITIMATE IN VITRO LABORATORY RESEARCH AND SCIENTIFIC DEVELOPMENT PURPOSES BY QUALIFIED RESEARCH PROFESSIONALS.
By completing a purchase, you expressly represent and warrant that: (a) you are a qualified researcher, licensed laboratory professional, or institutional purchaser with legitimate research purposes; (b) the purchased compounds will be used solely for in vitro research, analytical chemistry, or laboratory experimentation; (c) the purchased compounds will NOT be used for human consumption, animal consumption, therapeutic application, diagnosis, treatment, or any clinical purpose; (d) you understand that none of the compounds sold by Explicit Research have been approved by the U.S. Food and Drug Administration (FDA) or any other regulatory authority for human or veterinary use; (e) you are fully aware of all applicable federal, state, and local laws governing the possession and use of the compounds you are purchasing, and you will comply with those laws in full; and (f) you are not purchasing these compounds for resale, redistribution, or transfer to any party that intends to use them outside of a legitimate research context.
Any use of Explicit Research products outside of the explicitly stated research context described above is unauthorized, constitutes a material breach of these Terms, and may expose you to civil and criminal liability under applicable law. Explicit Research disclaims all responsibility for any unauthorized use.
3. Eligibility and Age Requirement
You must be at least 18 years of age and legally capable of entering into binding contracts under applicable law to use this site or place an order. By placing an order, you confirm that you meet this requirement. We reserve the right to refuse service to any person we believe does not meet these eligibility requirements, or to any person who has previously violated these Terms.
4. Product Information and Accuracy
We make reasonable efforts to ensure that product descriptions, purity specifications, and pricing are accurate. All purity claims are based on third-party independent laboratory testing (HPLC or equivalent methodology) at the time of batch release. Actual results may vary slightly between lots. Certificate of Analysis (COA) documentation is available for each product batch. We reserve the right to correct any errors in product listings or pricing and to cancel or modify orders where an error has occurred, with full refund to the Buyer.
Product descriptions are provided for informational and research reference purposes only. Nothing in any product description constitutes medical advice, a therapeutic claim, or a recommendation for any specific application.
5. Purchasing, Pricing, and Payment
All prices are listed in U.S. dollars and are subject to change without notice. Your order constitutes an offer to purchase at the listed price. We reserve the right to cancel or refuse any order at our sole discretion, including orders where we suspect misrepresentation of intended use. Payment must be made in full at time of order. We use PCI-DSS-compliant payment processing; your card data is tokenized and not stored on our servers.
6. Shipping and Returns
Shipping terms, estimated transit times, and return policies are governed by our Shipping and Returns Policy, incorporated herein. Due to the perishable and regulated nature of research compounds, all sales are final unless the product arrives damaged, defective, or materially non-conforming to stated specifications.
7. Prohibited Uses
You agree that you will NOT: (a) use any purchased compound for human or animal use, self-administration, or therapeutic purposes; (b) resell, transfer, or distribute any compound to a party who intends non-research use; (c) use the site or any compound in violation of any federal, state, or local law or regulation; (d) attempt to circumvent any security, verification, or age-gating feature of this site; (e) provide false or misleading information about your identity, qualifications, or intended use during registration or purchase; or (f) use this site in any manner that could damage, disable, or impair its operation.
8. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL PRODUCTS ARE SOLD "AS IS" AND "AS AVAILABLE" FOR RESEARCH PURPOSES ONLY. EXPLICIT RESEARCH MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY PRODUCT IS SAFE, EFFICACIOUS, OR SUITABLE FOR ANY SPECIFIC RESEARCH APPLICATION. THE BUYER ASSUMES ALL RISK ASSOCIATED WITH THE SELECTION, POSSESSION, HANDLING, STORAGE, AND USE OF ANY PURCHASED COMPOUND.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPLICIT RESEARCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM: (a) THE USE, MISUSE, OR INABILITY TO USE ANY PRODUCT; (b) ANY PERSONAL INJURY, PROPERTY DAMAGE, OR HEALTH CONSEQUENCE RESULTING FROM USE OF A PRODUCT; (c) ANY VIOLATION OF LAW BY A BUYER ARISING FROM THEIR USE OF ANY PRODUCT; OR (d) ANY INACCURACY IN PRODUCT DESCRIPTIONS OR SPECIFICATIONS. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER AT ISSUE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY; IN SUCH JURISDICTIONS OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless Explicit Research and its officers, directors, employees, agents, and affiliates from and against any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising from: (a) your use or misuse of any purchased product; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) any claim by a third party arising from your unauthorized use or redistribution of any compound.
11. Intellectual Property
All content on this website, including text, images, product names, logos, and proprietary blend formulations, is the property of Explicit Research or its licensors and is protected by applicable intellectual property law. You may not reproduce, distribute, or commercially exploit any content from this site without our prior written consent.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict-of-law principles. Any dispute arising from these Terms or any transaction conducted through this site shall be subject to the exclusive jurisdiction of the state and federal courts located in Connecticut. You waive any objection to venue or jurisdiction in those courts.
13. Dispute Resolution
Before initiating any formal legal proceeding, you agree to contact us in good faith at [email protected] to attempt informal resolution. If informal resolution is not achieved within 30 days, either party may pursue formal legal remedies as provided in Section 12.
14. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
15. Entire Agreement
These Terms, together with our Privacy Policy and Shipping and Returns Policy, constitute the entire agreement between you and Explicit Research with respect to your use of this site and purchase of products, and supersede all prior agreements, representations, or understandings.
